Terms of Use

1. Acceptance and Scope

These Terms of Use (the “Terms”) are entered into between you and Paragon Systems (“Paragon Systems,” “we,” “us,” or “our”). They govern access to and use of websites operated by Paragon Systems, websites we host for customers or partners, mobile applications we manage or develop, connected products, and related content, functionality, and services (collectively, the “Platforms”).

By accessing a Platform or affirmatively accepting these Terms, you agree to these Terms and our Privacy Policy. If you use a Platform for an organization, you represent that you are authorized to bind that organization. If you do not agree, do not access or use the Platforms.

2. Customer Agreements and Authorized Business Use

The Platforms may be used for personal purposes and for business or organizational purposes expressly authorized by a signed agreement, order form, statement of work, electronic acceptance, or other mutual agreement with Paragon Systems or the organization that provides the applicable hosted Platform (a “Customer Agreement”). No other commercial exploitation of the Platforms or their content is permitted.

If these Terms conflict with a Customer Agreement, the Customer Agreement controls for the services and parties covered by that agreement. Additional product, feature, or program terms apply when presented and accepted. Unless expressly stated otherwise, those additional terms supplement these Terms.

3. Eligibility and Use by Minors

You must be legally capable of agreeing to these Terms. A minor may use a Platform only when the use is authorized and appropriately supervised by a parent, legal guardian, school, employer, or other contracting organization that has authority to provide all required permissions and consents. The authorizing adult or organization, rather than the minor, is responsible for the applicable agreement and for managing the minor’s access. A Platform may impose a higher minimum age or additional safeguards where required by law or the applicable Customer Agreement.

4. Changes to These Terms

We may revise these Terms from time to time. We will identify the effective date and provide notice of material changes as required by applicable law or the relevant Customer Agreement. When affirmative acceptance is required, revised Terms will not apply until that acceptance is obtained. Changes to dispute-resolution provisions will not apply retroactively to disputes for which the parties had actual notice before the revised provisions became effective.

5. Access, Availability, and Account Security

We may modify, suspend, or discontinue all or part of a Platform, subject to applicable law and any Customer Agreement. We do not guarantee that every Platform or feature will always be available in every location.

You must provide accurate, current, and complete registration information; protect account credentials and authentication devices; prevent unauthorized account sharing; and promptly notify us at support@paragonsystems.us of suspected unauthorized access or security incidents. You are responsible for activity under your account to the extent permitted by law, except activity caused by our breach of an applicable obligation.

We may disable credentials or restrict access when reasonably necessary to protect a Platform, comply with law, enforce these Terms or a Customer Agreement, or address suspected misuse.

6. Paragon Systems Intellectual Property

The Platforms and their content, features, functionality, software, designs, text, images, audio, video, trademarks, and other materials are owned by Paragon Systems, its affiliates, licensors, customers, or other providers and are protected by applicable intellectual-property laws. Subject to these Terms and any Customer Agreement, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the applicable Platform for its authorized purpose.

No ownership interest is transferred to you. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from a Platform except as expressly permitted by law, these Terms, or a Customer Agreement. Requests for additional permission may be sent to support@paragonsystems.us.

7. User and Customer Content

You and the applicable customer or organization retain ownership of content submitted to a Platform (“User Content”). You grant Paragon Systems and its service providers a limited, non-exclusive, worldwide license to host, copy, transmit, display, process, secure, maintain, and back up User Content only as reasonably necessary to provide, support, secure, and improve the contracted Platform, comply with law, and fulfill the applicable Customer Agreement. This license ends when the content is deleted from active systems, subject to legal obligations and ordinary backup-retention cycles.

Paragon Systems does not sell User Content or use it for public promotion or artificial-intelligence model training unless that use is separately disclosed and authorized. Service providers may process User Content only to support the Platform and subject to appropriate contractual obligations.

You represent that you have the rights, permissions, and lawful basis necessary to submit User Content and permit its processing. You remain responsible for User Content and for ensuring that it complies with law, these Terms, and the applicable Customer Agreement. Customer organizations are responsible for their users, access decisions, and configured moderation responsibilities.

We may restrict access to or remove User Content when reasonably necessary to address content that is unlawful, infringing, dangerous, fraudulent, harmful to the Platforms or others, or in violation of these Terms or a Customer Agreement. Where appropriate, we will act consistently with applicable notice, appeal, and contractual requirements.

8. Trademarks

Paragon Systems names, logos, designs, and slogans are trademarks of Paragon Systems or its affiliates or licensors and may not be used without prior written permission. Other names, logos, product names, and service marks belong to their respective owners.

9. Prohibited Uses

You may use the Platforms only for lawful, authorized purposes. You must not:

• Violate applicable local, state, provincial, federal, national, or international law, including export-control and sanctions requirements.
• Exploit or harm minors, solicit personal information from minors without authorization, or bypass safeguards established for minors.
• Upload, transmit, or use content without the required rights, permissions, or lawful basis.
• Send unauthorized advertising, spam, chain letters, or similar solicitations.
• Impersonate another person or organization, misrepresent an affiliation, or engage in fraud or deceptive conduct.
• Disable, overburden, damage, disrupt, or interfere with a Platform or another user’s access.
• Use automated or manual means to scrape, monitor, or copy a Platform except as expressly authorized.
• Introduce malware or attempt unauthorized access to a Platform, account, server, network, computer, or database.
• Conduct denial-of-service attacks, probe security without authorization, or evade access controls or usage limits.
• Use a Platform in a way that infringes rights, threatens safety, or exposes Paragon Systems, a customer, or another person to liability.

10. Copyright Concerns

We respect intellectual-property rights and may restrict or terminate repeat infringers where appropriate. If you believe material available through a Platform infringes your copyright, send a written notice to support@paragonsystems.us identifying the copyrighted work, the allegedly infringing material and its location, your contact information, the basis for your good-faith belief, a statement that the notice is accurate and that you are authorized to act, and your physical or electronic signature.

This contact information is provided for reporting copyright concerns and does not represent that Paragon Systems has completed a designation with the United States Copyright Office. We may publish separate designated-agent information if and when such a designation is completed.

11. Monitoring, Enforcement, and Termination

We may investigate suspected violations; preserve and disclose information when lawfully required; cooperate with valid legal process; restrict or suspend access; remove content; and take other appropriate action. We may terminate access for material or repeated violations, unlawful activity, security threats, nonpayment where applicable, or as permitted by a Customer Agreement.

When reasonably practicable, we will tailor enforcement to the circumstances and provide notice consistent with applicable law and contractual obligations. Provisions that by their nature should survive termination remain effective, including provisions concerning ownership, licenses already required for retained backups or legal compliance, disclaimers, limitations of liability, indemnification, and disputes.

12. Information and Third-Party Content

Information presented through a Platform may be incomplete, out of date, or supplied by customers, users, licensors, aggregators, or other third parties. Third-party statements and opinions are solely those of their authors and do not necessarily reflect Paragon Systems’ views. To the extent permitted by law, you assume the risk of relying on general informational content unless a Customer Agreement expressly provides otherwise.

13. Changes to the Platforms

We may update Platform content, functionality, and services over time. Availability may vary by Platform, customer, region, device, or plan. Product-specific commitments, service levels, support obligations, and change controls are governed by the applicable Customer Agreement.

14. Linking and Social Features

You may link to a publicly available Platform page in a fair and lawful manner that does not imply an unauthorized association, approval, or endorsement. You may use sharing or social features only as provided and subject to any additional terms. Unless authorized, you may not frame a Platform, display it within another service, bypass navigation or access controls, or use links in a misleading manner.

15. Third-Party Services and Links

Platforms may link to or interoperate with third-party sites, applications, devices, advertisements, or services. Third parties control their own services, terms, and privacy practices. Except as provided in a Customer Agreement, Paragon Systems is not responsible for third-party services or for loss arising from your use of them.

16. Global Availability and Trade Compliance

The Platforms may be accessed from multiple countries, but not every Platform or feature is offered in every jurisdiction. You are responsible for complying with laws applicable to your access and use. You must not access, export, re-export, transfer, or use a Platform in violation of applicable export-control, economic-sanctions, or import laws. We may restrict availability when required by law, contractual commitments, security considerations, or regional operating requirements.

17. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT FOR EXPRESS WARRANTIES IN A CUSTOMER AGREEMENT, THE PLATFORMS AND THEIR CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PARAGON SYSTEMS DISCLAIMS EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, RELIABILITY, AND AVAILABILITY.

WE DO NOT WARRANT THAT THE PLATFORMS WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL ALWAYS BE CORRECTED. THIS DISCLAIMER DOES NOT EXCLUDE WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT AS OTHERWISE PROVIDED IN A CUSTOMER AGREEMENT, PARAGON SYSTEMS AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, OR DATA; OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE PLATFORMS, EVEN IF FORESEEABLE.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, OR TO LIABILITY RESULTING FROM OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Paragon Systems, its affiliates, licensors, service providers, and their respective personnel from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from your material violation of these Terms, your unlawful use of a Platform, or User Content you submit without required rights or permissions. This section does not expand obligations established by a controlling Customer Agreement.

20. Governing Law and Jurisdiction

Except where applicable law or a controlling Customer Agreement requires otherwise, these Terms and disputes arising from them or the Platforms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Proceedings must be brought exclusively in the federal or state courts located in Tucson, Pima County, Arizona, although Paragon Systems may seek relief in another jurisdiction to protect its rights or enforce these Terms. Each party consents to those courts and waives objections to venue, subject to rights that cannot lawfully be waived.

21. Time to File Claims

TO THE EXTENT PERMITTED BY LAW, A CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORMS MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CLAIM ACCRUES. THIS LIMITATION DOES NOT APPLY WHERE A LONGER PERIOD CANNOT LAWFULLY BE SHORTENED OR WHERE A CUSTOMER AGREEMENT PROVIDES OTHERWISE.

22. Waiver and Severability

A failure to enforce a provision is not a waiver. If a provision is found invalid, illegal, or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will remain effective.

23. Entire Agreement

These Terms, the Privacy Policy, applicable supplemental terms, and any controlling Customer Agreement constitute the agreement concerning the applicable Platform and supersede prior understandings on that subject. Nothing in these Terms overrides terms that expressly control under Section 2.
